1. The service
Synclyr helps you align text with audio, create or edit timed captions, transcribe audio, and export subtitle or lyric timing files. Features, supported formats, file size and duration limits, processing providers, plan limits, and pricing may change as the service evolves. Current upload limits are shown in the product and documentation.
Synclyr is not a video editor, publishing platform, archival service, or guaranteed backup service. You are responsible for keeping your own copies of source files and exported work.
2. Accounts
You must provide accurate account information and keep access to your account secure. You are responsible for activity performed through your account unless caused by a security failure on our side.
You must be legally capable of entering into this agreement in your jurisdiction. If local law requires consent from a parent, guardian, or other authorized person, you may use Synclyr only with that consent.
3. Your content
You keep ownership of the audio, text, transcripts, lyrics, scripts, captions, and other material you submit to Synclyr. You grant Synclyr and its service providers only the rights reasonably necessary to host, transmit, process, transform, and return that content so we can provide the service.
You are responsible for ensuring that you have the rights and permissions necessary to upload and process your content. Do not use Synclyr to process material in a way that infringes copyright, privacy, publicity, contractual, or other rights.
4. Acceptable use
You may not use Synclyr to:
- break the law or encourage unlawful activity;
- upload content you do not have the right to process;
- attempt to access another user's account, project, or private data;
- interfere with, overload, reverse engineer, or bypass security or billing controls;
- use automated methods to abuse the service or consume resources in a way that harms other users;
- distribute malware or intentionally harmful content through the service.
5. Processing providers
Synclyr relies on third-party infrastructure and service providers to operate. This includes hosting and application infrastructure, audio processing, authentication, payment processing, and support email services. Your use of Synclyr may therefore involve transmitting data to those providers as described in our Privacy Policy.
6. Connected agents and automated access
Synclyr may let you authorize an AI agent, plugin, automation, or other third-party client to access your Synclyr account. The authorization screen shows the permissions requested by that client. You should approve access only when you recognize and trust the client.
Actions performed through an active connection are treated as actions authorized by you within the permissions you granted. Depending on those permissions, a connected client may view or create projects, upload content, update project or caption settings, start Sync or transcription, and check processing status. Additional connected-client capabilities may be added over time. Sync or transcription started by a connected client uses your normal Synclyr processing balance.
The agent or client platform is a separate service from Synclyr. It may process your instructions, files, and results under its own terms and privacy policy. Synclyr does not control how a third-party agent interprets your instructions or uses information after Synclyr returns it to that authorized client.
You can disconnect an active client from the Connected apps section of your Account. Disconnecting stops future access through that connection but does not undo actions or processing already completed. We may also restrict or disable automated access when reasonably necessary for security, abuse prevention, service stability, or compatibility.
7. Paid plans, minutes, and billing
Synclyr may offer one-time minute packs and recurring subscription plans. The price, included processing time, renewal schedule, and other plan details shown on the Pricing or Subscription pages at the time of purchase form part of these Terms.
Uploading and preparing audio do not consume processing minutes. Billable processing minutes are used when you start Sync or transcription. Editing caption layout, correcting text, adjusting timings after processing, and exporting files do not consume additional processing minutes unless the product clearly states otherwise.
Payments are processed by Lemon Squeezy, which acts as merchant of record for purchases made through its checkout. Lemon Squeezy may collect payment information, taxes, billing details, and other transaction information under its own terms and privacy policy. Synclyr does not receive your full payment-card details.
8. Subscriptions, cancellation, and plan changes
Recurring plans renew automatically until cancelled. You can cancel or resume an eligible subscription from Synclyr's subscription controls. Cancellation stops future renewal but does not normally reverse a payment that has already been completed.
Plan upgrades or downgrades may have product-specific timing and balance rules shown in the app. Where Synclyr displays a specific effective date, carryover rule, or renewal behavior, that displayed rule applies to that plan change.
9. Refunds
Purchases are generally non-refundable except where required by law. You may contact support if you believe a charge was made in error or exceptional circumstances apply.
If Synclyr voluntarily approves a refund, our current policy is to issue only a full refund for a specific subscription payment or one-time minute pack that has not been used at all. Once any processing time attributable to that purchase has been used, it is not eligible for a voluntary refund. We do not voluntarily issue partial refunds.
Deleting your Synclyr account is not a refund request and does not automatically create a refund. Any unused Synclyr minutes remaining on a deleted account are forfeited, except where applicable law requires otherwise.
Nothing in this section limits any mandatory cancellation, refund, or consumer rights that apply to you under applicable law.
10. Accuracy and availability
Audio alignment and transcription are automated processes and may be imperfect. You are responsible for reviewing output before relying on, publishing, distributing, or otherwise using it.
We aim to keep Synclyr available and reliable, but we do not guarantee uninterrupted operation, permanent storage, or that every file, language, audio condition, browser, network connection, or third-party service will work without error. Language support may differ between exact-text Sync and transcription because they use different processing capabilities. Uploads and processing are subject to the supported languages, formats, maximum duration, maximum file size, and other technical limits shown in the product or documentation.
11. Intellectual property
Synclyr's software, interface, branding, design, documentation, and other service materials are owned by or licensed to Synclyr. These Terms do not transfer ownership of those materials to you.
Your exported files and your underlying content remain yours, subject to any rights that may belong to third parties in the source material.
12. Suspension and termination
We may restrict or suspend access when reasonably necessary to protect the service, other users, payment integrity, security, or legal compliance, including where we reasonably believe these Terms have been materially violated.
You may stop using Synclyr at any time and may permanently delete your account from the Account page. Account deletion cancels an active subscription so it will not renew and removes active project content and unused processing balances. Limited billing, transaction, legal, security, fraud-prevention, dispute, or deletion-audit records may still be retained where reasonably necessary or legally required. 13. Disclaimers
To the maximum extent permitted by law, Synclyr is provided on an "as is" and "as available" basis. We do not make warranties that the service will be uninterrupted, error-free, or suitable for every particular purpose.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
14. Limitation of liability
To the maximum extent permitted by law, Synclyr will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost opportunities, or loss of data arising from your use of the service.
To the maximum extent permitted by law, Synclyr's aggregate liability arising out of or relating to the service will not exceed the amount you paid for Synclyr during the 12 months immediately before the event giving rise to the claim.
These limits do not apply where applicable law does not allow them.
15. Changes to the service or these Terms
We may update the service and these Terms from time to time. If a change materially affects your rights or obligations, we will take reasonable steps to provide notice and, where appropriate, ask you to accept the updated Terms before continuing to use the service.
